Platform Policies
Kerux is a technology platform connecting event organizers with brand sponsors in India. This page describes how we operate, the laws we comply with, and the protections in place for all users.

Platform Status and Entity
Kerux is currently operated as an unincorporated technology platform in India. Incorporation as a private limited company is in progress. Until incorporation is complete, the platform is operated by its founders in a sole proprietorship capacity under Indian law.
Kerux operates as a technology intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Kerux does not directly participate in the commercial agreements between event organizers and brand sponsors. It provides the platform, tooling, and payment facilitation for these parties to transact.
Payment Facilitation (Not Escrow)
Kerux facilitates payments between sponsors and organizers using Razorpay as the payment gateway. Funds collected from sponsors are processed through Razorpay and held temporarily before disbursement to organizers.
Kerux is not a licensed Payment Aggregator under the Reserve Bank of India's Payment Aggregator guidelines (March 2020). Kerux operates under a marketplace/merchant model in which payment processing is delegated entirely to Razorpay, a licensed Payment Aggregator regulated by the RBI. Kerux does not handle, store, or process card data.
Kerux does not offer an escrow service in the legal sense. "Funds in escrow" language on the platform refers colloquially to funds being held pending event delivery confirmation, not to a licensed escrow arrangement. Kerux retains a platform fee (currently 10%) on each completed transaction. The remaining 90% is disbursed to the organizer upon sponsor approval or auto-approval (72 hours after proof submission).
Intermediary Liability and Safe Harbour
As a technology intermediary under Section 79 of the IT Act, 2000, Kerux is not liable for third-party content or transactions facilitated through the platform, provided that Kerux:
1. Does not initiate the transmission or select the receiver; 2. Does not select or modify the content transmitted; 3. Observes due diligence and acts promptly on takedown notices.
Kerux complies with these requirements and publishes a grievance redressal mechanism as required under IT Rules 2021.
Grievance Redressal
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Kerux designates a Grievance Officer who can be contacted at:

Users may submit grievances related to content, transactions, account issues, or platform conduct. Kerux will investigate and resolve each grievance in accordance with applicable law.
Consumer Protection
Kerux complies with the Consumer Protection (E-Commerce) Rules, 2020. The following information is disclosed:
- Legal name of entity: Kerux (unincorporated, incorporation pending) - Nature of business: Technology platform for event sponsorship facilitation - Refund and return policy: Sponsors may dispute proof of delivery within 72 hours of submission. Disputes are reviewed by the Kerux team. Refunds are processed within 5-7 business days of a dispute ruling in the sponsor's favour. - Grievance officer contact: grievance@kerux.in
Consumers may also approach the National Consumer Helpline (1800-11-4000) or the e-Daakhil portal for additional recourse.
Tax and GST
Kerux charges a platform fee on each completed sponsorship transaction. This fee is subject to Goods and Services Tax (GST) at the applicable rate (currently 18%) as required under the Central Goods and Services Tax Act, 2017.
Organizers receiving cumulative payouts exceeding INR 50,000 in a financial year may be subject to TDS deduction under Section 194H (commission/brokerage) of the Income Tax Act, 1961. Kerux will issue the appropriate TDS certificates upon formal incorporation.
GST invoices for platform fees will be issued upon request. Post-incorporation, Kerux will obtain GST registration and issue GST-compliant invoices automatically.
Enforceability of Deal Terms
The deal terms agreed between sponsors and organizers on the platform (package selection, deliverables, and agreed amounts) constitute a binding agreement between those parties under the Indian Contract Act, 1872, subject to the following conditions:
- Both parties must be competent to contract (18 years of age or older, of sound mind). - The consideration is the agreed sponsorship amount. - The object (event sponsorship with defined deliverables) must be lawful.
Kerux is not a party to this agreement. Kerux facilitates its formation and provides the proof-of-delivery and dispute mechanism described in these policies.
Limitation of Liability
To the maximum extent permitted by applicable Indian law:
1. Kerux is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the platform, including but not limited to failed events, organizer non-performance, or sponsor non-payment beyond the amounts held in the payment system.
2. Kerux's total liability to any user for any claim arising from use of the platform is limited to the total platform fees paid by that user in the three months preceding the claim.
3. Kerux does not warrant that events listed on the platform will proceed, that attendance figures will match estimates, or that deliverables will be fulfilled to any particular standard beyond the proof-of-delivery mechanism described herein.
4. Users agree to resolve disputes with each other directly before escalating to Kerux's dispute mechanism.
Governing Law and Jurisdiction
These terms and all disputes arising from use of the platform are governed by the laws of India. Any disputes not resolved through the platform's grievance mechanism shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
Kerux reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction.
Changes to This Policy
Kerux may update this legal and compliance document from time to time. Changes will be posted on this page with an updated date. Continued use of the platform after such changes constitutes acceptance of the revised terms.
